Program Terms & Conditions

These Terms & Conditions (“Terms”) govern participation in the Lumen Small Business Accelerator program (“Program”) offered by Lumen Media Group DBA Lumen (“Lumen,” “we,” “our,” or “us”). By applying for or participating in the Program, applicants and participating businesses (“Client,” “Applicant,” or “you”) agree to these Terms.

1. Program Overview

The Lumen Small Business Accelerator is a limited-capacity marketing partnership initiative designed to provide selected small businesses with reduced-rate video production and social content services.

The Program is application-based and intended to support qualifying businesses through consistent video content creation and strategic marketing support.

Selection into the Program is not guaranteed.

Lumen reserves the right to accept or decline any application at its sole discretion.

2. Program Structure

Selected participants will receive the following services during the Program term:

  • Five (5) produced and edited video deliverables per month

  • One (1) onsite filming day per month, up to eight (8) consecutive hours

  • One (1) quarterly strategy session

  • One (1) quarterly business review (“QBR”)

Services included in the Program are limited to the scope expressly stated above unless otherwise agreed to in writing.

3. Eligibility Requirements

To be considered for participation, applicants must:

  • Operate a legally registered business in Texas

  • Employ fewer than twenty-five (25) employees

  • Generate less than $2,500,000 USD in annual revenue

  • Maintain at least one active social media platform or business account

  • Complete the official Program application process

Lumen may request documentation or additional information to verify eligibility.

Submission of an application does not guarantee acceptance into the Program.

4. Program Term

The Program term shall begin on July 1, 2026 and continue for six (6) months unless otherwise terminated in accordance with these Terms or the applicable service agreement.

Filming schedules, strategy sessions, and reporting calls will be coordinated jointly between Lumen and Client.

5. Pricing & Payment Terms

Program participants will receive reduced-rate services at the following pricing structure:

  • Six (6) Month Retainer: $10,000 USD

  • Monthly Payment Amount: $1,660 USD

Payments are due on the first of each month.

Late payments beyond 30 days may result in paused services, delayed deliverables, or removal from the Program.

Any additional work requested outside the agreed Program scope may be billed separately at Lumen’s standard rates.

6. Savings Representation

Any references to “savings” or reduced pricing are based on comparisons to Lumen’s standard service pricing at the time of publication.

Actual savings may vary depending on scope, deliverables, production requirements, and market pricing.

7. Client Responsibilities

Client agrees to:

  • Provide timely communication, feedback, and approvals

  • Ensure availability for scheduled filming days

  • Secure all necessary permissions for filming locations

  • Obtain consent from individuals appearing on camera where required

  • Provide accurate business information during the application process

Delays caused by Client availability, lack of approvals, or scheduling conflicts may impact delivery timelines.

8. Scheduling & Production Policies

Filming days must be scheduled in advance and are subject to Lumen’s availability.

Unused filming days do not roll over unless approved in writing by Lumen.

If Client cancels a scheduled filming day within 48 hours of the scheduled production time, Lumen reserves the right to count the session as fulfilled.

Lumen reserves the right to reschedule production dates due to weather, emergencies, safety concerns, equipment issues, or circumstances beyond reasonable control.

9. Deliverables & Revisions

Video deliverables will be provided in digital format suitable for social media usage.

Each deliverable includes one (1) round of reasonable revisions unless otherwise specified in writing.

Additional revisions, re-edits, or expanded deliverables may result in additional fees.

Lumen retains creative discretion regarding editing style, pacing, formatting, and production approach consistent with the agreed strategy.

10. Intellectual Property & Content Usage

Final Deliverables

Upon full payment, Client shall own the final approved video deliverables produced under the Program.

Raw Footage

Unless otherwise agreed in writing, all raw footage, project files, drafts, templates, and unused production assets remain the property of Lumen.

Portfolio & Marketing Usage

Client grants Lumen a non-exclusive, perpetual, worldwide license to display, reproduce, publish, and promote completed work, including Client name, logo, video content, and behind-the-scenes materials for portfolio, marketing, advertising, award submissions, social media, and promotional purposes.

If Client requires confidentiality or restrictions on public usage, such limitations must be agreed upon in writing prior to production.

11. Independent Contractor Relationship

Lumen is an independent contractor and is not an employee, partner, joint venture, or agent of Client.

Nothing in these Terms creates a partnership, franchise, fiduciary relationship, or employment relationship between the parties.

12. No Guarantee of Results

While Lumen will provide strategic marketing and content production services, Lumen does not guarantee any specific business outcomes, including but not limited to:

  • Revenue growth

  • Lead generation

  • Social media growth

  • Engagement metrics

  • Brand awareness

  • Sales performance

  • Platform algorithm performance

Marketing performance depends on numerous external factors outside of Lumen’s control.

13. Limitation of Liability

To the maximum extent permitted by law, Lumen shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from participation in the Program.

Lumen’s total liability under these Terms shall not exceed the total amount paid by Client under the Program during the preceding six (6) months.

14. Indemnification

Client agrees to indemnify, defend, and hold harmless Lumen and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, or expenses arising out of:

  • Client-provided materials

  • Unauthorized use of third-party intellectual property

  • Filming permissions or location issues

  • Claims related to individuals appearing in Client-requested content

  • Client’s breach of these Terms

15. Termination

Lumen reserves the right to terminate participation in the Program for:

  • Nonpayment

  • Repeated scheduling conflicts

  • Abusive, unsafe, or inappropriate conduct

  • Material breach of these Terms

  • Misrepresentation during the application process

Client may terminate participation with thirty (30) days’ written notice.

Termination does not relieve Client of outstanding payment obligations for services already rendered or committed production expenses.

16. Program Modifications

Lumen reserves the right to modify, suspend, or discontinue the Program at any time, including adjustments to pricing, eligibility, structure, or availability.

Such modifications will not materially reduce services already contracted during an active term unless mutually agreed upon in writing.

17. Confidentiality

Both parties agree to maintain the confidentiality of any non-public business, operational, financial, or strategic information shared during the Program.

Confidentiality obligations shall survive termination of participation in the Program.

18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved exclusively in the courts located in Dallas, Texas.

19. Entire Agreement

These Terms, together with any signed service agreement, proposal, or statement of work, constitute the entire agreement between the parties regarding the Program and supersede all prior discussions or understandings.
